PLEASE READ THESE TERMS AND CONDITIONS (“Terms”) CAREFULLY BY ACCESSING OR USING THE CARE NAVIGATION ADVOCATES APPLICATION, WEBSITE, OR RELATED SERVICES (collectively, the “Services”), YOU AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES REFERENCED HEREING. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE OF THE SERVICES IMMEDIATELY.

IT IS THE RESPONSIBILITY OF EACH USER OF THE SITE TO READ THE TERMS AND CONDITIONS BEFORE PROCEEDING TO USE THIS SITE. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS AND CONDITIONS, THEN PLEASE DO NOT ACCESS OR USE THE SITE OR OUR SERVICES. “YOU” ARE A USER OF THE SITE, AND YOU ARE SUBJECT TO THIS POLICY WHETHER YOU MAKE AN ACCOUNT ON THE SITE OR ACCESS THE SITE AS A GUEST OR BY OTHER MEANS.

1. Eligibility

You represent that you are at least 18 years old or the legal age of majority in your jurisdiction. If a minor uses the Services, the supervising parent or legal guardian is deemed the user for all purposes under these Terms.

2. Description of Services

Care Navigation Advocates provides a digital health platform designed to organize, and facilitate retrieval of insurance information, and health-related information. The Services may include account creation, secure document storage, authorized data sharing, health navigation support tools, and AI-assisted insights. Care Navigation Advocates does not provide medical advice, diagnosis, or treatment.

3. User Responsibilities

You agree to:

• Provide accurate and complete information during registration.
• Maintain the confidentiality of your login credentials.
• Use the Services only for lawful purposes.
• Avoid uploading or sharing unlawful, offensive, inaccurate, or harmful content.
• Notify Care Navigation Advocates of any unauthorized account access.

You are solely responsible for the accuracy and legality of all personal and medical data you submit.

4. Account Creation and Management

You may create an account only for yourself or for another individual if you have legal authority to do so. You are responsible for understanding your legal rights and for any consequences of uploading another person’s health information without proper authorization.

By creating an account, you confirm that information you provide is accurate and that you will update it to maintain accuracy.

5. Data Storage and Sharing

The Services allow you to upload and store health records. You may grant others access to documents stored in your account. Access persists until you revoke it. Care Navigation Advocates does not review the medical accuracy of uploaded records and is not responsible for lost or deleted data. You should maintain independent backups of all records.

6. License and Restrictions

We grant you a limited, non‑exclusive, non‑transferable, revocable license to use the Services for personal, non‑commercial purposes. You may not:

• Copy, modify, reverse engineer, or distribute any part of the Services.
• Attempt to gain unauthorized access to any system or data.
• Use automated tools or bots without authorization.

7. Privacy

Your use of the Services is governed by the Care Navigation Advocates Privacy Policy, which explains how your personal data, including sensitive health data, is collected, stored, and processed.

We use a third party service to facilitate the transfer of your records to our Site from a third party. As of the date this Policy was last updated, such party is 1upHealth, Inc. Such third party may have their own terms of service or other policies which may be applicable. If you use the Site to request that we obtain electronic health records or other protected health information, you expressly agree and consent to Care Navigation Advocates to contact the necessary health care provider, insurance provider, or other holder of such information (including an Electronic Health Record provider (an EHR)) to obtain such records and store them on your Account.

Through the Site, you may have the ability to grant others the right to access the health records stored on your Account (for example, you may be able to grant a spouse, child, or parent who also has an Account on the Site to view and access the medical records held in your Account). You acknowledge that if you grant any other user access to the records in your Account, their access will continue unless and until you revoke it, and that user will be able to see any additional documents that you add to your Account (or if such option is made available to you and you opt into the same, any documents that are automatically added) after granting such access.

8. Intellectual Property

All software, content, trademarks, and other intellectual property associated with the Services are owned by or licensed to Care Navigation Advocates. No rights are transferred to you except the limited license described above.

You may not reproduce, distribute, create derivative works from, or exploit any part of the Services without written consent.

9. Prohibited Conduct

You agree not to:

• Upload or transmit harmful, abusive, defamatory, obscene, or infringing content.
• Impersonate another person or misrepresent your affiliation.
• Disrupt the Services or any related networks.
• Violate any applicable local, state, national, or international laws.

10. Payment and Billing

Some features may require payment or subscription. By purchasing such services, you authorize Care Navigation Advocates or its payment processor to charge your selected payment method. All payments are non‑refundable unless otherwise stated.

You must cancel any subscription through the designated cancellation process rather than by revoking payment authority.

11. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind. Care Navigation Advocates does not guarantee uninterrupted service or error‑free operation and does not endorse or verify user‑uploaded content.

The Services are not a substitute for professional medical advice.

12. Limitation of Liability

To the maximum extent permitted by law, Care Navigation Advocates is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of profits, or service interruption.

Total liability shall not exceed the greater of:

(a) $100, or

(b) the total amount paid by you within the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Care Navigation Advocates and its officers, employees, and affiliates from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your infringement on third‑party rights
• Your upload or use of another person’s health information without authorization

14. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason required by law. Upon termination, your right to use the Services ends immediately. Data may be deleted according to our policies.

15. Third‑Party Services and Links

The Services may contain links to third‑party websites or may integrate with third‑party platforms. Care Navigation Advocates is not responsible for the availability, content, or policies of such third‑party services.

16. Notice of Intellectual Property Claims

If you believe your copyrighted work has been infringed, you may submit a notice containing:

• Your physical or electronic signature
• Identification of the copyrighted work
• Location of the infringing material
• Your contact information
• A statement of good‑faith belief
• A statement under penalty of perjury affirming accuracy

17. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the jurisdiction in which Care Navigation Advocates is established. Any disputes shall be resolved exclusively in the applicable courts of that jurisdiction.

18. Modifications

Care Navigation Advocates may modify these Terms at any time. Continued use of the Services after changes are published constitutes acceptance of the revised Terms.

19. Entire Agreement

These Terms, along with all policies incorporated by reference, constitute the entire agreement between you and Care Navigation Advocates.
